Digi-iD supplies customised apparel, embroidered garments, printed garments, promotional products, branded merchandise, signage, and related services.
Product images, mock-ups, and digital representations are provided for illustration purposes only. Actual products may vary slightly due to manufacturing processes, screen settings, garment batches, and decoration methods.

## 3. Quotations and Pricing
All quotations are valid for 30 days unless otherwise stated.
Prices are subject to change without notice prior to order acceptance.
Delivery charges, artwork charges, setup fees, and VAT (where applicable) will be identified during the ordering process.
An order is not confirmed until payment has been received or written acceptance has been provided by Digi-iD.

## 4. Orders and Production
Orders are deemed accepted when:
* Full payment has been received; or
* Credit account terms have been agreed; and
* Artwork approval has been provided where applicable.
Production will not commence until all necessary approvals, artwork, information, and payment requirements have been satisfied.

## 5. Artwork Approval
Customers are responsible for carefully reviewing all proofs, artwork, mock-ups, visual representations, spelling, colours, quantities, garment selections, and design layouts before providing approval.
Approval of artwork constitutes acceptance of all elements shown within the proof.
Once approval has been provided, Digi-iD cannot accept responsibility for:
* Spelling mistakes
* Typographical errors
* Design errors
* Incorrect colours approved by the customer
* Incorrect sizing information
* Layout issues visible within approved artwork
Any changes requested after approval may incur additional charges and production delays.

## 6. Customer Supplied Artwork
By supplying artwork, logos, trademarks, images, or other materials, you confirm that:
* You own the rights to use such materials; or
* You have obtained all necessary permissions and licences.
Digi-iD accepts no responsibility for copyright, trademark, design right, or intellectual property infringement arising from customer supplied content.
You agree to indemnify and hold Digi-iD harmless against any claims, losses, damages, costs, or expenses arising from the use of supplied artwork.

## 7. Production Tolerances
The garment decoration industry involves manufacturing and production processes that may result in minor variations.
The following shall be considered acceptable industry tolerances and shall not constitute defects:
* Minor colour variations between garments and batches
* Minor colour variations between digital proofs and finished products
* Minor variations in print positioning
* Minor variations in embroidery placement
* Minor variations in embroidery density and stitch appearance
* Minor garment size variations within manufacturer tolerances
* Minor differences between production runs
Such variations do not qualify for refund, replacement, or compensation.

## 8. Garment Sizes
Size guides are provided as a guide only.
Customers are responsible for selecting appropriate garment sizes.
Digi-iD cannot accept returns or exchanges for customised products due to incorrect size selection.
Where team stores, club stores, school stores, or affiliate stores are used, individual purchasers remain responsible for their own size selection.

## 9. Delivery
Delivery times are estimates only and are not guaranteed unless expressly agreed in writing.
Digi-iD shall not be liable for delays caused by:
* Couriers
* Suppliers
* Material shortages
* Customs processes
* Industrial action
* Weather events
* Circumstances beyond our reasonable control
Risk in goods passes to the customer upon delivery.
Customers should inspect deliveries promptly and notify us of any issues within 14 days.

## 10. Returns and Refunds

Customised, personalised, printed, embroidered, and made-to-order products cannot be returned due to change of mind.

Due to the bespoke nature of many products supplied, orders may not be cancelled once:

Where trade credit accounts are approved, invoices must be paid within the agreed payment period.
Late payments may result in:

## 13. Intellectual Property

## 14. Affiliate, Team and Organisation Stores
Digi-iD may operate online stores on behalf of clubs, schools, charities, businesses, organisations, teams, and affiliates.
Store operators are responsible for ensuring that:

Digi-iD reserves the right to remove or suspend stores that breach applicable laws or intellectual property rights.
Where commission or fundraising arrangements exist, these will be governed by separate written agreements.

MerchMate Terms & Conditions
These Terms & Conditions (“Terms”) govern your use of the MerchMate service (“Service”) provided by Digi-iD (“Company,” “we,” or “us”). By signing up for and using the Service, you agree to comply with these Terms. Please read them carefully.
1. Service Overview
MerchMate is a merchandise fulfillment service that enables users to create and sell branded merchandise without managing inventory, fulfillment, or logistics. We provide:
- A branded e-commerce store set up within 48 hours.
- Product customisation and on-demand order fulfillment.
- Shipping and delivery management for all customer orders.
- Quarterly commission payouts based on sales.
1.1 Store Ownership
- All MerchMate stores remain the property of Digi-iD.
- Users are granted a license to use their store under the MerchMate service.
- Digi-iD reserves the right to modify, suspend, or terminate a store based on performance or policy violations.
2. Setup Fee & Store Activation
2.1 Initial Setup Cost
- A one-time setup fee of £299 + VAT is required to activate your MerchMate store.
- This fee covers store creation, hosting, branding, and integration with our fulfillment system.
- Payment must be made in full before your store is activated.
2.2 Quarterly Store Reviews & Performance Threshold
- Each MerchMate store is reviewed quarterly to assess sales performance.
- Stores must generate at least £250 in sales per quarter to remain active.
- If a store fails to meet the sales threshold for two consecutive quarters, it may be deactivated or put under review.
- If your store is under review, you will receive a 30-day notice with recommendations for improvement before a final decision is made.
3. Pricing & Supplier Costs
3.1 Pricing Adjustments
- The prices of merchandise in your store may increase or decrease due to supplier cost changes outside of our control.
- We will notify you of any significant pricing adjustments before they take effect.
4. Commission & Payments
4.1 Commission Earnings
Commissions are based on sales made per quarter through your MerchMate store.
The commission rates are structured as follows:
Quarterly Sales Revenue (Before VAT) → Commission Percentage
đš £0 - £249 → 5% commission
đš £250 - £749 → 10% commission
đš £750 - £1,999 → 15% commission
đš £2,000+ → 20% commission
4.2 Payment Schedule
- Commission payments are processed quarterly (every 3 months).
- Payments will be made within 30 days of the end of each quarter via BACs using the details you provided.
4.3 Taxes & Responsibilities
- You are responsible for any applicable taxes on your earnings.
- MerchMate does not deduct or report taxes on your behalf.
5. Store Management & Responsibilities
5.1 Your Responsibilities
- You are responsible for promoting your store and driving traffic.
- Any branding, logos, or designs uploaded to your store must comply with intellectual property laws.
- You cannot sell counterfeit or unauthorized branded products.
5.2 MerchMate’s Responsibilities
- We handle store setup, order fulfillment, and customer deliveries.
- We ensure high-quality product printing and embroidery.
- We provide customer service support for order fulfillment issues.
6. Intellectual Property
- You retain ownership of your brand assets, logos, and custom designs.
- By using MerchMate, you grant Digi-iD a license to use your brand assets solely for fulfilling orders.
- Digi-iD retains full ownership of the MerchMate platform, technology, and e-commerce stores.
7. Termination & Cancellation
7.1 Quarterly Store Reviews & Termination
- Digi-iD reviews all stores quarterly to ensure performance standards are met.
- Stores that do not meet the minimum sales threshold of £250 per quarter for two consecutive quarters may be deactivated, put on hold, or terminated.
- If your store is underperforming, we will provide a 30-day notice for improvement before final action is taken.
7.2 Voluntary Cancellation
- You may choose to close your store at any time, but no refunds will be provided for the initial setup fee.
- If you close your store, any unpaid commissions will be paid on the next scheduled payout date.
7.3 Termination by Digi-iD
We may immediately suspend or terminate your store if:
- You violate intellectual property laws.
- You engage in fraudulent activity.
- You fail to meet your agreed-upon sales threshold after the 30-day notice period.
8. Limitation of Liability
- Digi-iD is not responsible for lost revenue, indirect damages, or third-party service failures.
- We make no guarantees on sales volume or profit.
- Our liability is limited to the initial setup fee paid.
9. Governing Law & Disputes
- These Terms are governed by the laws of United Kingdom.
- Any disputes will be handled via mediation or arbitration before legal proceedings.
10. Amendments & Updates
- Digi-iD reserves the right to update these Terms at any time.
- Changes will be communicated via email and apply immediately upon notification.
